AGREEMENT SIGNED TO ACQUIRE MATTIODA GROUP'S STAKES IN ATIVA AND SITAF

Turin, 23 October 2019 - ASTM and SIAS have signed an agreement with the Mattioda Group to acquire its stakes in the ATIVA and SITAF concessions.

Specifically, on the basis of this agreement, ASTM and SIAS will acquire a 31.17% stake held by the Mattioda Group in ATIVA - a licensee company (operating under de-facto regime, considering that concession expired on 31/08/2016) for the A5 Torino-Ivrea-Quincinetto, A4/A5 Ivrea-Santhià and Torino-Pinerolo motorways, as well as the Turin ring road system - for a total of € 48.9 million.

The new post-deal shareholding structure for ATIVA will be as follows:

ASTM/SIAS Group:	72.34%
Metropolitan City of Turin:	17.64%
Mattioda Group:	10.00%
Others	0.02%

At the same time, the agreement signed between the parties also provides for ASTM and SIAS to acquire the 10.19% stake held by the Mattioda Group in SITAF, the licensee company of the Fréjus Road tunnel, for a total of € 53.6 million.

On the basis of this agreement, the new post-deal shareholding structure for SITAF will be as follows:

ASTM/SIAS Group:	47.08%
ANAS:	51.09%
Others:	1.83%

The acquisition of the SITAF stake, a long-term asset that manages the only Alpine tunnel which shall be provided with two lanes connecting Italy and France, assumes a particular strategic value for the ASTM/SIAS Group as it consolidates its presence on the Italian market and simplifies share ownership and corporate governance.

ASTM and SIAS will each acquire 50% of the ATIVA and SITAF holdings. With reference to the merger by incorporation of SIAS into ASTM in progress, please note that the above-mentioned acquisitions do not affect the share swap ratio.
