CHANGE OF SESSION OF BOARD OF DIRECTORS

AND

NOMINATION OF CANDIDATES FOR DIRECTORS

According to the Companies Law of the People's Republic of China, Guidance on Corporate Governance of Commercial Banks and other relevant laws and regulations, as well as and the articles of association of China Minsheng Banking Corp., Ltd. (the "Articles of Association"), Minsheng Banking Corp., Ltd. (the "Company") intends to initiate the change of the Board of Directors in the near future in accordance with the conditions of the Company. The Board of Directors of the Company hereby announces the size and composition, nomination procedure of candidates for directors, timeline and contents of the nomination of Directors comprising the eighth session of the Board of Directors:

I. Principles of change of session

The change of session shall be carried out in accordance with the principles of legality and compliance, stability, sufficient communication and negotiation.

  1. Size and composition of the eighth session of the Board of Directors
    1. Size. The eighth session of the Board of Directors shall comprise 18 directors.
    2. Composition. The eighth session of the Board of Directors shall comprise at least six independent non-executive directors, being one-third of the directors, and at least two directors shall be the senior management of the Company.
    3. The size and composition of the Board of Directors may be slightly adjusted based on the nominations and relevant regulations.

  1. Nomination procedure of candidates for directors
    1. Candidates for shareholder-directors (i.e. non-executive directors)
      1. In accordance with the number of members of the Board of Directors as specified in the Articles of Association, according to the number of appointees intended, the Nomination Committee under the seventh session of the Board of Directors shall, on the basis of general consultation of shareholders' opinions, propose the list of candidates for shareholder-directors. Shareholder(s) individually or in aggregate holding 3% or more of the total number of issued shares of the Company with voting rights may nominate a candidate for shareholder-director to the Board of Directors.
      2. The Nomination Committee under the Board of Directors shall carry out preliminary review on the qualifications and criteria of the candidates for shareholder-directors, and submit the list of qualified candidates for the Board of Directors' consideration. Upon consideration and approval by the Board of Directors, a written proposal of the candidate for shareholder-director shall be submitted to the shareholders' general meeting.
      3. The candidate for shareholder-director so nominated shall, prior to the convening of the shareholders' general meeting, provide a notice in writing, agreeing to accept the nomination and undertaking that all materials publicly disclosed are true and complete and that he/she has full capacity to perform the duties and functions of a director after his/her appointment.
    2. Candidates for executive directors
      Shareholder(s) individually or in aggregate holding 3% or more of the total number of issued shares of the Company with voting rights may nominate a candidate for executive director. The seventh session of the Board of Directors and the Nomination Committee under the Board of Directors may also nominate a candidate for executive director based on the actual needs of the Company after careful review and examination of the senior management. The nominator shall submit the biography and other written materials of the nominee as required in the procedures of change of sessions. The Nomination Committee under the Board of Directors shall carry out preliminary review on the qualifications and criteria of the candidates for executive directors, and submit the list of qualified candidates for the Board of Directors' consideration. Upon consideration and approval by the Board of Directors, a written proposal of the candidate for executive director shall be submitted to the shareholders' general meeting.
    3. Candidates for independent non-executive directors
      1. In accordance with the provisions of relevant laws and regulations and the Articles of Association, shareholder(s) individually or in aggregate holding 1% or more of the total number of issued shares of the Company with voting rights, the seventh session of the Board of Directors or the seventh session of the Supervisory Board of the Company may nominate a candidate for independent non-executive director.

  1. In nominating the candidate for an independent non-executive director, a nominator shall obtain the consent of the nominee, obtain full information, such as occupation, education background, job title and detailed working experience and concurrent jobs, of the nominee, and issue an opinion regarding his/her qualification and independence as an independent non-executive director. The candidate so nominated shall also make a public statement that there is no relationship between him/her and the Company which may affect his/her independent objective judgment.
    The selection and appointment of independent non-executive directors shall comply mainly with market principles. The eligibility of the candidates for independent non- executive directors shall be reviewed by the Nomination Committee under the seventh session of the Board of Directors with a focus on their independence, expertise, experience and capability.
    The Board of Directors of the Company shall publish the aforesaid information in accordance with the relevant requirements prior to the convening of the shareholders' general meeting for electing the independent non-executive directors.
  2. Relevant materials of all nominees shall, prior to the convening of the shareholders' general meeting for electing the independent non-executive directors, be submitted to relevant regulatory authorities and stock exchanges where the shares of the Company are listed. In case of any objection raised by the Board of Directors against any nominee, the written comments of the Board of the Directors also shall be submitted concurrently.
    The nominee objected by regulatory authorities may be nominated as a candidate for director, but not an independent non-executive director. At the shareholders' general meeting for electing the independent non-executive directors, the Board of Directors shall indicate whether the candidates for independent non-executive directors have been objected by regulatory authorities.

IV.Requirements for nominating candidates for directors by shareholders

In accordance with the Guidance on Corporate Governance of Commercial Banks and relevant regulatory requirements, a shareholder and his/her related parties shall not nominate the candidates for both directors and supervisors at the same time. Shareholders who have already nominated a director are not allowed to nominate an independent non-executivedirector. The number of candidates for directors nominated by a shareholder and his/her related parties shall not exceed one-thirdof the total number of members of the Board of Directors in principle.

V. Timeline and requirements for nomination of candidates for directors

Timeline and requirements for nomination of candidates for directors are as below:

  1. A qualified shareholder registered at the shareholders' register of the Company at the close of the afternoon trading session on 9 December 2019 may submit such proposal within the period as set out below.
  2. Period for submission of proposals: 10 December 2019 to 16 December 2019. Deadline for
    nomination: 17:00, 16 December 2019.
  3. Originals of the nomination documents must be sent by personal delivery or by post. If sent by personal delivery, they shall be deemed as effectively given only if delivered to the contact person designated by the Company before 17:00, 16 December 2019. If sent by post, they shall be deemed as effectively given only if received by the contact person designated by the Company before 17:00, 16 December 2019 (based on the time of receipt by the designated contact person).
