COMPOSITION OF THE SUPERVISORY BOARD

At the close of its meeting on 11 December 2019, the Supervisory Board acknowledged the resignation of Vincent de Dorlodot and Juliette Valains, appointed members of the Supervisory Board in 2004 and 2018 respectively.

On the recommendation of its Remuneration and Appointments Committee, the Board co- opted:

• Björn Bauer, CFO of RTL Group, to replace Vincent de Dorlodot for the remainder of his predecessor's term of office, i.e. until the close of the Ordinary General Meeting called in
  2022 to approve the financial statements for the 2021 financial year;
• Siska Ghesquière, Vice President Mergers & Acquisitions of RTL Group, to replace Juliette Valains for the remainder of her predecessor's term of office, i.e. until the close of the Ordinary General Meeting called in 2023 to approve the financial statements for the 2022 financial year;

These co-options are subject to approval at the next General Meeting.

As of today, the Supervisory Board comprises the following members:

Björn Bauer has been CFO of RTL Group since August 2019.

A German national and a graduate in business administration, Björn Bauer started his career in 2005 at the consultancy firm Arthur D. Little. He joined Bertelsmann in 2007, where he held successive positions in Corporate Controlling and Strategy. In February 2015, Bjorn Bauer was appointed Head of M&A at the American online learning provider Relias, recently acquired by Bertelsmann. In September 2015, he was appointed CFO of Relias. He returned to Gütersloh, Germany, in January 2019 as Bertelsmann's Executive Vice President for Corporate Controlling and Strategy.

Siska Ghesquière has been Vice President Mergers & Acquisitions of RTL Group since July 2019.

A Belgian national, Siska Ghesquière graduated in Law and Business Administration (INSEAD). She began her career in 2005 at Linklaters with the Corporate and M&A Department. She joined RTL Group as Corporate Counsel in 2012 and primarily worked on acquisition projects (SpotX in the US, United Screens in Sweden, RTL Radio in France, etc.). From November 2018 to July 2019, she served as Vice President Global Operations Management for MPN (Multi-Platform Network) Businesses.
