WRITS RECEIVED PURSUANT TO ARTT. 2377 AND 2378 C.C. WITH CAUTIONARY
INJUNCTION PURSUANT TO 2378, PARA. 3, C.C. CONTESTING THE RESOLUTION OF THE
EXTRAORDINARY SHAREHOLDERS' MEETING OF 10 JANUARY 2020
Mediaset today received from Vivendi S.A. ("Vivendi") and Simon Fiduciaria S.p.A ("SimonFid") separate writs pursuant to art. 2377 and 2378 of the civil code with a cautionary injunction pursuant to art 2378, paragraph 3, of the civil code.
Vivendi has requested from the Court of Milan, among other things:
as a precautionary measure,
the suspension, until the decision on the merits pursuant to art. 2378 of the Italian Civil Code, the implementation of the resolution passed by the Extraordinary Shareholders' Meeting of Mediaset held on 10 January 2020 (the "Resolution"), as well as any related assumptions and/or consequent resolutions;
alternatively, in extreme circumstances, the suspension of the execution and effectiveness of the aforementioned Resolution at least until the conclusion of the judgments pending before the European Court of Justice and the TAR (administrative court) of Lazio.
on the merits,
the annulment of the Resolution, as well as any related assumptions and/or consequent resolutions;
the cancellation and, in any case, a declaration of the ineffectiveness of the resolutions taken by the corporate bodies of Mediaset S.p.A. in relation to and in execution of the acts indicated in point (a) above, including the resolutions with which the Board of Directors and the Chairman of the meeting prevented SimonFid, during the Extraordinary Shareholders' Meeting of Mediaset held on 10 January 2020, from exercising administrative rights connected to the stake of 19.19% held of the relative share capital;
more generally, having ascertained the unlawful nature of its conduct, to order Mediaset S.p.A., and Fininvest S.p.A. to compensate Vivendi for damages suffered.
SimonFid has requested from the Court of Milan, among other things:
as a cautionary measure, the suspension of the implementation of the Resolution,
on the merits, the
annulment of the Resolution;
the annulment and, in any case, a declaration of the ineffectiveness of the resolutions taken by the corporate bodies of Mediaset S.p.A. in relation to and in execution of the Resolution.
Having recorded the foregoing additional initiatives, the Court of Milan has postponed the hearing of the requested injunction, due to be held today (re. the press release of 9 December), until 1 February.
