Reference is made to the stock exchange notice on21 July 2020 , regarding the share issuance byNorwegian Air Shuttle ASA ("NAS") through the conversion of vendor debt to equity. Following the completion of the share issuance,AerCap Holdings N.V. holds, through certain of its indirect wholly owned subsidiaries as well as certain other companies in whichAerCap Holdings N.V. has an interest (collectively the "Relevant Entities"), an interest in a total of 487,915,559 ordinary shares, representing 13.7% of the share capital and voting rights in NAS. In addition, certain of the Relevant Entities hold an interest in perpetual bonds in NAS. Such perpetual bonds can be converted into 219,498,267 ordinary shares in NAS, representing in total 6.2% of the share capital and voting rights in NAS. The conversion rights under the perpetual bonds may be exercised as follows: (i) one third of the bonds may be converted into shares from9 August 2020 , (ii) one third may be converted into shares from9 October 2020 (such third to be in addition to the bonds in item (i)), and (iii) one third may be converted into shares from9 December 2020 (such third to be in addition to the bonds in item (i) and (ii)). The conversion period under the perpetual bonds expires after 5 years from issuance, provided that NAS has the right to extend the expiry date by five years prior to each expiry date. The principal Relevant Entities through whichAerCap Holdings N.V. will hold an interest in the above shares and perpetual bonds includeBallyfin Aviation Limited . This notification is made pursuant to Section 4-3 of theNorwegian Securities Trading Act.
