AUGUSTA Technologie AG sells Sensortechnics Group, continuing its clear focus on the Vision segment

First Sensor acquires 100 percent of interests in Sensortechnics Group

Purchase price approximately EUR 67 million

Munich, September 29, 2011. Digital imaging specialist AUGUSTA Technologie AG (ISIN DE000A0D6612) agreed to sell 100 percent of the interests in Sensortechnics GmbH, headquartered in Puchheim, Germany, and its subsidiaries to Prime Standard-listed First Sensor AG (ISIN: DE0007201907), headquartered in Berlin, Germany today. The transaction is expected to be completed at the earliest in four to six weeks, following the successful implementation of a capital increase at First Sensor AG.Focus on core competence: Vision technologies

In the future, we will concentrate even more systematically on digital image processing and we want to catch up with the internationally leading technology companies in this market area. We will finance our strategic growth with the sales proceeds of the Sensortechnics Group", says Amnon Harmon, CEO of AUGUSTA Technologie AG.

This year, AUGUSTA has already acquired two companies in the Vision segment, VDS Vosskühler GmbH and LMI Technologies Inc., which fit to the existing activities perfectly. The sale of the Sensortechnics Group is another logi- cal step in the focusing of the technology company. "In view of the long-term market growth forecasts, fragmenta- tion of the markets and the already-strong positioning of AUGUSTA in the digital image processing market, our strategic goal is to become the global market leader in vision technologies", adds Harman.

Sale to First Sensor AG according to structured bidding process

For the Sensortechnics Group, sales revenues of approximately EUR 60 million and earnings before interest, tax, depreciation and amortization (EBITDA) of almost EUR 10 million are expected for 2011. Sensortechnics GmbH, whose subsidiaries include companies like Elbau GmbH and Klay Instruments B.V., has about 270 employees and constitutes the core of the Sensors segment. For the sale of the Sensortechnics Group, AUGUSTA conducted a structured bidding process at an international scale. Discussions were held with many strategic and financial inves- tors. The contract was awarded to the long-term-oriented strategic investor First Sensor, which submitted the most attractive offer.

Attractive sales price provides more leeway for acquisitions

"In the international bidding process, we suc- ceeded in realizing an attractive valuation of the Sensortechnics Group that even considerably exceeds the implied valuation of AUGUSTA at the stock market", says Arno Pätzold, Chief Development Officer (CDO) of AUGUSTA Technologie AG, commenting on the agreed selling price.

The sales proceeds give AUGUSTA significantly more leeway for further acquisitions in the Vision segment and thereby serve AUGUSTA's strategic goal of becoming the global vision leader.

The Company
