Legal basis: Art. 56 sec. 1 item 2 of the Act on Public Offering - current and periodic information Content of the report:The Management Board of Colian S.A. publishes the content of the resolutions adopted at the Ordinary General Meeting held on 29 June 2015.Resolution No. 1Of the Ordinary General Meeting of the Company under the business name of Colian Holding S.A. convened on 29 June 2015 on appointing the Chairperson of the Meeting.
§ 1
The Ordinary General meeting appoints Mr Sławomir Skoczek for the Chairperson of the Meeting.
§ 2
The resolution shall enter into force on the date of its adoption.
In the voting the valid votes were cast by shareholders representing 85 747 995 shares i.e. 44.47% of the share capital.
The resolution was adopted with 85 790 795 votes in favour, none against and no abstentions.
The resolution was adopted unanimously by secret ballot.
Resolution no. 2Of the Ordinary General Meeting of the Company Colian Holding S.A. with its registered seat in Opatówek convened on 29 June 2015 on abrogation of the secrecy of voting while appointing the Vote Counting Committee
§ 1
Pursuant to Art. 420 § 3 of the Code of Commercial Companies the Ordinary General Meeting of the company Colian Holding Spółka Akcyjna abrogates the secrecy of voting while appointing the Vote Counting Committee.
§ 2
The resolution shall enter into force on the date of its adoption.
In the voting the valid votes were cast by shareholders representing 85 747 995 shares i.e. 44.47% of the share capital.
The resolution was adopted with 85 790 795 votes in favour, none against and no abstentions. The resolution was adopted unanimously by open voting.
Resolution No. 3Of the Ordinary General Meeting of the Company under the business name of Colian Holding S.A. convened on 29 June 2015 on appointing the Vote Counting Committee.
§ 1
The Ordinary General Meeting appoints Mr Marcin Czerniak and Krzysztof Kołpak to the Vote Counting Committee.
§ 2
The resolution shall enter into force on the date of its adoption
In the voting the valid votes were cast by shareholders representing 85 747 995 shares i.e. 44.47% of the share capital.
The resolution was adopted with 85 790 795 votes in favour, none against and no abstentions. The resolution was adopted unanimously by open voting.
Resolution No. 4Of the Ordinary General Meeting of the Company under the business name of Colian Holding S.A. convened on 29 June 2015 on adopting the agenda.
§1
Ordinary General Meeting approves the following agenda:
1. Opening of the Meeting and election of the Chairperson.
2. Confirmation of the correctness of convening the meeting and its ability to adopt resolutions.
3. Appointing the Vote Counting Committee.
4. Adoption of the agenda.
5. Adopting a resolution on consideration and approval of the Company's financial statements for the financial year 2014.
6. Adopting a resolution on consideration and approval of the Management Board's report on the Company's activities for the financial year 2014.
7. Adopting a resolution on consideration and approval of the consolidated financial statements of the Capital Group Colian Holding S.A. for the financial year 2014.
8. Adopting a resolution on consideration and approval of the Management Board's report on the Capital Group Colian Holding S.A. activities for the financial year 2014.
9. Adopting a resolution on consideration and adoption of the Supervisory Board's report for the financial year 2014.
10. Adopting a resolution on acknowledgement of the fulfilment of duties in 2014 for the members of the Company's management.
11. Adopting resolutions on the election of members of the Supervisory Board.
12. Adopting a resolution on division of profit for 2014.
13. Adopting a resolution on authorising the Management to acquire Company's own shares.i
14. Other businesses.
15. Closing the General Meetings.
