IMA's Board of Directors approves the merger of the

wholly owned subsidiary Corazza S.p.A.

The Board of Directors of IMA S.p.A., world leader in the production of automatic packaging machines, met today under the chairmanship of Alberto Vacchi and approved the absorption of Corazza S.p.A., a directly and wholly owned subsidiary, by IMA S.p.A. after a similar decision was made by the Shareholders' Meeting of Corazza S.p.A.

Today's resolution, resulting from a public deed pursuant to art. 2505 of the Italian Civil Code, was adopted by the Board of Directors of IMA S.p.A., as no requests were submitted by the shareholders for the resolution to be adopted by the Shareholders' Meeting, and it follows the approval of the merger plan on 11 September 2020.

This merger, which will help simplify the corporate structure of the IMA Group and optimise management of its internal cash flow, is excluded from being considered a related party transaction as envisaged by art. 14 of Consob's Regulation and art. 5 of the procedure adopted by IMA.

The absorption of this company is not considered particularly significant, as it is between IMA S.p.A. and a directly or indirectly controlled subsidiary that already falls within the scope of consolidation.

The merger formalities will be completed before the end of the current year and will take effect from 1 January 2021.

It should be noted that the minutes of the resolutions adopted will be made available to the public within the terms and in the manner prescribed by the applicable laws and regulations.
