Food Planet, Inc. (TSE:7853) entered into a share transfer basic agreement to acquire Red Planet Foods Co., Ltd. from Red Planet Japan, Inc. (JASDAQ:3350), Foodlabs Limited, Evolution Advisors Limited and 5 individuals on June 9, 2016. Under the terms of the transaction, 27,447 shares of Red Planet Foods Co. will be acquired. For the year ended September 30, 2015, Red Planet Foods Co., Ltd. reported total assets of ¥1.18 billion; net assets of ¥306.42 million, EBIT ¥165.24 million and net income of ¥366.29 million. The transaction is subject to approval in the extraordinary meeting of shareholders of Red Planet Japan, Inc. The Corporate resolution concerning the share transfer contract with Red Planet Japan, Inc. and Red Planet Foods Co. minority shareholders is expected to take place on June 14, 2016. The transaction is expected to close on June 30, 2016.
