NOD: Grant of Restricted Stock Units and Performance Shares

On April 24, 2024, The Annual General Meeting of Nordic Semiconductor ASA
approved the issue of Restricted Stock Units (RSUs) and Performance Shares of an
aggregate nominal value of up to 1% of the company's outstanding share capital. 

In total in this release, 946,922 RSUs and Performance Shares have been granted,
equivalent to 0.49% of the company's outstanding share capital. 

As basis for the calculation of RSUs and Performance Shares, a volume weighted
average share price the five trading days after the Annual General Meeting of
NOK 121.5 has been used. 

All Employee Plan 

Today, on May 3, 2024 the company has granted 840,572 RSUs to employees under
the all-employee program. For employees, the RSUs will vest after two years or
three years and the shares will be delivered to the employee at the vesting date
against payment of the par value of the share (subject to the employee's
continued employment with the Company). The shares may be newly issued shares or
existing treasury shares.
 
Executive Management Plan 

With reference to the Annual general meeting held on April 24, 2024, members of
the Executive Management team have today been granted a total of 53,175 RSUs and
53,175 performance shares in the company. The RSUs will vest after three years
and the shares will be delivered to the employee at the vesting date against
payment of the par value of the share (subject to the employee's continued
employment with the Company). The shares may be newly issued shares or existing
treasury shares. The performance shares are issued conditional upon the
achievement of a certain set of objectives. The performance shares vest and will
be delivered at par value upon the completion of the performance period, which
is three years. If the executive achieves at least 80% of the set performance
targets, 50% of the shares will be granted, whilst on 120% achievement of
targets a maximum two times the shares will be granted. As such, if maximum
performance is achieved on the performance shares, a total of 106,350 shares
will be delivered to the executive management team. Details below is based on
100% performance achievement. For further details on the program, please refer
to the Guidelines for Executive Compensation that were approved by the Annual
General Meeting. 

Vegard Wollan, CEO, received 10,493 RSUs and 10,493 performance shares.
Following the grant, Vegard has 50,000 shares, 21,733 RSUs and 21,733
performance shares in the company. 

Pål Elstad, CFO, received 4,830 RSUs and 4,830 performance shares. Following the
grant, Pål has 49,417 shares, 15,599 RSUs and 15,599 performance shares in the
company. 

Joakim Ferm, Interim SVP R&D, received 3,148 RSUs and 3,148 performance shares.
Following the grant, Joakim has 1,312 shares, 7,173 RSUs and 3,148 performance
shares in the company.
 
Øyvind Strøm, EVP BU Short-Range, received 5,000 RSUs and 5,000 performance
shares. Following the grant, Øyvind has 1,000 shares, 5,000 RSUs and 5,000
performance shares in the company. 

Øyvind Birkenes, EVP BU Long-Range, received 5,000 RSUs and 5,000 performance
shares. Following the grant, Øyvind has 7,100 shares, 5,000 RSUs and 5,000
performance shares in the company. 

Geir Langeland, EVP Sales and Marketing, received 5,112 RSUs and 5,112
performance shares. Following the grant, Geir has 219,653 shares, 19,413 RSUs
and 16,463 performance shares in the company. 

Ole-Fredrik Morken, EVP Supply Chain, received 4,629 RSUs and 4,629 performance
shares. Following the grant, Ole-Fredrik has 205,345 shares, 12,822 RSUs and
12,822 performance shares in the company. 

Ola Boström, SVP Quality, received 3,148 RSUs and 3,148 performance shares in
the company. Following the grant, Ola has 4,737 shares, 8,975 RSUs and 6,094
performance shares in the company. 

Kjetil Holstad, EVP Strategy and Product Management, received 4,629 RSUs and
4,629 performance shares. Following the grant, Kjetil has 16,401 shares, 13,497
RSUs and 13,497 performance shares in the company. 

Ståle Ytterdal, SVP Investor Relations, received 3,158 RSUs and 3,158
performance shares. Following the grant, Ståle has 141,632 shares, 10,266 RSUs
and 10,266 performance shares in the company. 

Katarina Finneng, EVP People & Communication, received 4,028 RSUs and 4,028
performance shares. Following the grant, Katarina has 4,337 shares, 12,983 RSUs
and 12,983 performance shares in the company.
