SHAREHOLDERS' AGREEMENT BETWEEN

RETELIT DIGITAL SERVICES S.P.A., ATHESIA DRUCK S.R.L. AND ATHESIA TYROLIA DRUCK GMBH

Milan, August 4, 2020 - Retelit S.p.A. announces today receipt of communication regarding the signing, in the context of the closing for the acquisition of Brennercom S.p.A. on July 30, 2020, of a shareholders' agreement as per Article 122, paragraph 5, letter b) of Legislative Decree no. 58/1998 between Retelit Digital Services S.p.A., Athesia Druck S.r.l. and Athesia Tyrolia Druck GmbH (the "Agreement").

An extract of the Agreement as per Article 129 of Consob Regulation adopted with motion No. 11971 of May 14, 1999 ("Issuers' Regulation") is attached to this press release.

Extract of the shareholders' agreement regarding Retelit S.p.A. as per Article 122 of Legislative Decree No. 58 of February 24, 1998, as subsequently amended and supplemented (the "CFA") and Article 129 of Consob Regulation 11971/1999, as subsequently amended and supplemented (the "Issuers' Regulation").

On July 30, 2020, a shareholders' agreement was signed between (i) Retelit Digital Services S.p.A. ("RDS") - a wholly-owned subsidiary of Retelit S.p.A. (the "Company") -,(ii) Athesia Druck S.r.l. ("Athesia Druck") and (iii) Athesia Tyrolia Druck GmbH ("Athesia Tyrolia Druck"), in accordance with Article 122, paragraph 5, letter b) of the CFA (the "Agreement"), covering the commitment Athesia Druck and Athesia Tyrolia Druck not to sell all or part of the Company's shares received on July 30, 2020 from RDS to third parties for a period of 12 (twelve) months, as part of the consideration for the acquisition of Brennercom S.p.A. completed on the same date, as announced to the market by Retelit.

Under the Agreement, 8,426,966 ordinary company shares were conferred (the "Shares Subject to the Agreement"), amounting to 5.13% of the share capital, broken down as follows: (i) Athesia Druck, 3,064,041 shares of the Company, equal to approx. 1.87% of the share capital and 36.36% of the Shares Subject to the Agreement; (ii) Athesia Tyrolia Druck, 5,362,925 shares of the Company, equal to approx. 3.26% of the share capital and 63.64% of the Shares Subject to the Agreement.
