SFAKIANAKIS S.A. Sfakianakis S.A. informs the investment public that on 21.09.2016 was registered in the General Commercial Registry (G.E.MI) by Code Listing Number 782630 the Merger Agreement Plan dated 22.06.2016 between the public limited companies:
"SFAKIANAKIS INCORPORATED COMMERCIAL AND MANUFACTURING COMPANY OF CARS, BUILDINGS, HOTELS AND TOURIST COMPANIES" with GEMI number 000240501000, which is situated in the Municipality of Athens,
and its 100% subsidiary "EXECUTIVE LEASE S.A. Incorporated Trading Company and Vehicle Repair, Tourism and Courier" with distinctive title «EXECUTIVE LEASE S.A.» with GEMI number 001674601000 which is situated in the Municipality of Kifissia,
with absorption of (b) from (a) in accordance with the provisions of articles 69-78 of C.L. 2190/1920 and articles 1-5 of L.2166/1993, in order to reduce operating costs from the economies of scale that will result and the more efficient administrative organization. The date of the transformation balance sheet has been set at 31.12.2015.
No new shares of SFAKIANAKIS S.A. will be issued from this merger since the acquiring owns the entire share capital of the acquired company.
The realization of the above merger is subject to the necessary consents and approvals of the relevant authorities.
