on the capital increase in a subsidiary and payback of member loan

Shopper Park Plus Plc. (registered office: 1015 Budapest, Batthyány utca 3. fszt. 1.; hereinafter referred to as the "Issuer") hereby gives notice of the following:

The Issuer based on Resolution of the Board of Directors Nr. 1/18.12.2023 as of 18.12.2023. has decided on and increased the share capital of GRADEVEL Kft. (registered office: 1015 Budapest, Batthyány utca 3. fszt. 1., company registration number: 01-09-394434; tax number: 27551808-2-41), the 100% subsidiary of the Issuer:

The Issuer provided a monetary contribution of EUR 1,000.00 that is one thousand euros via payment to the bank account of GRADEVEL Kft. as a result of which the business capital of GRADEVEL Kft. and the capital contribution of the Issuer changed to EUR 41,000.00 that is forty-one thousand euros, which consists entirely of monetary contribution.

Simultaneously with the increase of the business capital, in accordance with Section 36 (1) b) of Act C of 2000 on Accounting, the Issuer permanently handed over EUR 3,199,000.00, that is three million one hundred ninety-nine thousand euros to GRADEVEL Kft., which is transferred to GRADEVEL Kft.'s capital reserve. The Company paid this amount to GRADEVEL Kft. on 18.12.2023 via payment to the bank account of GRADEVEL Kft.

As a company included in the consolidation of the Issuer, Shopping Mall Karlovy Vary s.r.o. has repaid on 18.12.2023, a member loan in the amount equal to the balance of the following table to PENTA CEE Holding Zrt. (registered office: 1015 Budapest, Batthyány utca 3. fszt. 1., company registration number: 01-10-141386; tax number: 29276291-2-41), by drawing down the amount to be repaid from the credit limit based on the member loan agreement between Shopping Mall Karlovy Vary s.r.o. and GRADEVEL Kft. so that GRADEVEL Kft. performed the actual payment to PENTA CEE Holding Zrt.
