TRANSACTION BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES (DIRIGENTES) AND PERSONS
CLOSELY ASSOCIATED WITH THEM
Sonae Capital, SGPS, S.A. ("Sonae Capital") informs, under the terms and for the purposes of article 248-B of the Portuguese Securities Code and article 19 of Regulation (EU) No 596/2014, of the European Parliament and of the Council of 16 April 2014, that, in the context of the General and Voluntary Tender Offer of shares representing the share capital of Sonae Capital launched by Efanor Investimentos, SGPS, S.A. on 6 October 2020:
- A member of its board of directors, Maria Cláudia Teixeira de Azevedo, has informed that she has disposed of 449,213 shares representing the share capital of Sonae Capital on 28 October 2020;
- Linhacom, S.A., a person closely associated with Maria Cláudia Teixeira de Azevedo, member of the board of directors of Sonae Capital, considering that such company is controlled by Maria Cláudia Teixeira de Azevedo which is also president of its board of directors, has informed that it has disposed of 43,912 shares representing the share capital of Sonae Capital on 28 October 2020;
- Migracom, S.A., a person closely associated with Duarte Paulo Teixeira de Azevedo, president of the board of directors of Sonae Capital, considering that such company is controlled by Duarte Paulo Teixeira de Azevedo which is also president of its board of directors, has informed that it has disposed of 213,076 shares representing the share capital of Sonae Capital on 28 October 2020;
- Imparfin - Investimentos e Participações Financeiras, S.A., a person closely associated with Duarte Paulo Teixeira de Azevedo, president of the board of directors of Sonae Capital, considering that Duarte Paulo Teixeira de Azevedo is also president of its board of directors, has informed that it has disposed of 577,460 shares representing the share capital of Sonae Capital on 28 October 2020; and
- Maria Margarida Carvalhais Teixeira de Azevedo, as a member of the board of directors of Efanor Investimentos, SGPS, S.A. an entity closely associated with persons discharging managerial responsibilities of Sonae Capital, SGPS, S.A. has informed that it has disposed of 838.862 shares representing the share capital of Sonae Capital on 28 October 2020.
These transactions occurred on 28 October, in the regulated market, for the consideration of the offer, in the amount of € 0.77.
After these transactions, any shares and voting rights of the company cease to be attributable to the member of the board of directors Maria Cláudia Teixeira de Azevedo and to the companies Migracom, S.A. and Linhacom, S.A..
In accordance with and for the purposes of Commission Implementing Regulation (EU) 2016/523 of 10 March 2016, which lays down implementing technical standards with regard to the format and template for notification and public disclosure of transactions in accordance with Regulation (EU) No 596/2014, of the European Parliament and of the Council of 16 April 2014, the forms for communication of transactions on shares of Sonae Capital by persons discharging managerial responsibilities and persons closely associated with them drafted in accordance with such Commission Implementing Regulation are attached herein.
