The Hongkong and Shanghai Hotels, Limited Announces Board Changes, Effective December 1, 2017

The Board of Directors of The Hongkong and Shanghai Hotels, Limited announced that Ms. Ada Koon Hang Tse (‘Ms Tse’) will be appointed as an Independent Non-Executive Director and a member of the Audit Committee, Mr. James Lindsay Lewis (‘Mr Lewis’) will be appointed as a Non-Executive Director and Mr. Philip Lawrence Kadoorie (‘Mr Kadoorie’) will be appointed as a Non-Executive Director effective December 1, 2017. Ms. Ada Koon Hang Tse is a Senior Advisor of PineBridge Investments Asia. Ms. Tse now serves on the Appeal Board Panel (Town Planning) and the Municipal Services Appeals Board of the Hong Kong SAR Government. James Lindsay Lewis is an Independent Non-Executive Director of Hong Kong Aircraft Engineering Company Limited, and a Director of Sir Elly Kadoorie & Sons Limited, and currently serves on the boards of several private companies in the United Kingdom, Hong Kong and the Philippines. Philip Lawrence Kadoorie is a Director of Sir Elly Kadoorie & Sons Limited, overseeing a number of Kadoorie family interests in Hong Kong and overseas and, as such, is associated with the major shareholders of the Company. The appointments of Ms. Tse, Mr. Lewis and Mr. Kadoorie are subject to retirement and re-election by the shareholders of the company at the 2018 Annual General Meeting, or at the next General Meeting if there is one held earlier than the 2018 Annual General Meeting, according to the Articles of Association of the company. The Board also announced that Dr. William Kwok Lun Fung will cease to be a member of the Audit Committee with effect from December 1, 2017 but will continue to be an Independent Non- Executive Director.
Hongkong and Shanghai Hotels Ltd is an investment holding company principally engaged in the hotel operation. The Company operates its business through three segments. The Hotels segment engages in operating hotels, leasing of commercial shopping arcades. The Commercial Properties segment engages in the development, leasing and sale of residential apartments, leasing of retail and office premises as well as operating food and beverage outlets in such premises. The Clubs and Services segment engages in the operation of golf courses, the Peak Tram, retailing of food and beverage products and laundry services and the provision of management and consultancy services for clubs.
