Supplier Code of Conduct

Urban Edge Properties and its subsidiaries ("Urban Edge") are committed to conducting all aspects of their business in accordance with the highest ethical and legal standards. As a supplier of products and/or services to Urban Edge, your company ("Supplier") is critical to Urban Edge's success. In order to promote ethical business conduct, Urban Edge requires all Suppliers to comply with this Supplier Code of Conduct ("Supplier Code").

This Supplier Code is intended to serve as a guide for general decision making in a variety of circumstances that might be encountered by Suppliers in conducting business with Urban Edge and may not address all circumstances that arise. Supplier is expected to act with integrity and promote ethical business conduct in all circumstances where Supplier is conducting business for or with Supplier. Supplier is responsible for ensuring their directors, officers, employees, agents, representatives, suppliers, subcontractors, and other business partners understand, and comply with, the requirements set forth in this Supplier Code.

When conducting business for or with Urban Edge, Supplier agrees to uphold the principles set forth in Urban Edge's Code of Conduct which include:

  • promote honest and ethical conduct, including fair dealing and the ethical handling of conflicts of interest;
  • promote full, fair, accurate, timely, and understandable disclosure;
  • promote compliance with applicable laws and governmental rules and regulations;
  • ensure the protection of confidential information; and
  • deter wrongdoing.

Supplier agrees to notify Urban Edge promptly in the event it becomes aware of any known or suspected violation of this Supplier Code or any applicable laws. Supplier should report such information to their designated contact at Urban Edge. In the event this form of reporting is not feasible, Supplier may also report violations over the internet or by calling Urban Edge's compliance hotline. You may call the compliance hotline at (855) 374-5801 or use the website www.uedge.ethicspoint.com.

Anti-Bribery/Corruption

Suppliers must prohibit any and all forms of bribery, corruption, extortion, and embezzlement. Supplier must never offer, promise, authorize, or provide, directly or indirectly, anything of value (including, without limitation, business gifts or courtesies) with the intent or effect of inducing anyone to forego their duties and provide an unfair business advantage to Urban Edge, Supplier, or others. Accordingly, Supplier will, and will cause its employees, representatives, and subcontractors to comply with all Laws relating to anti-corruption,anti-money laundering, and the prevention of fraud and other financial crimes in all of the countries in which Supplier provides products or services, directly or indirectly, and any other countries in which Supplier conducts business. Supplier shall implement appropriate monitoring, record keeping, and enforcement procedures to ensure compliance with applicable anti-bribery and anti- corruption laws.

Conflict of Interest

Supplier must avoid all conflicts of interest or situations giving the appearance of a conflict of interest when doing business with Urban Edge. Supplier must promptly report to Urban Edge any circumstances that may give risk to an actual or apparent conflict of interest between Supplier's interest and those of Urban Edge.

Unfair Business Practices

Supplier must not engage in any illegal anti-competitive conduct or deceptive trade practice. Standards for fair business, advertising, and competition must be upheld.

Sanctions Laws

Suppliers will not engage in conduct that violates, or causes Urban Edge to violate, applicable sanctions laws, including, but not limited to, procuring or sourcing, directly or indirectly, any products or materials provided to Urban Edge from countries that are subject to comprehensive U.S. sanctions laws or by dealing with anyone who has been designated by the U.S. Treasury Office of Foreign Assets Control as a prohibited person, specially designated national, blocked person, or otherwise subject to U.S. sanctions.

Information Security and Data Privacy

Supplier shall establish and maintain physical, technical, administrative, environmental, safety, and facility procedures, data security procedures, and other safeguards that prevent the destruction, loss, theft, unauthorized access, use, disclosure, or alteration of data in the custody, possession, or control of Supplier. Such procedures and safeguards must also meet the requirements of all applicable Laws, including, but not limited to, all applicable laws pertaining to data privacy. Supplier agrees to comply with Urban Edge's Data Security Requirements as the same may be updated from time to time.

Human Dignity and Labor

Urban Edge is committed to respecting and protecting human rights across its value chain in accordance with the United Nations Guiding Principles on Business and Human Rights and the Civil Rights Act of 1964. Urban Edge believes that supporting these principles is a business imperative that should guide not only our company but also our tenants, vendors, suppliers, contractors, and other colleagues with whom we engage. All Suppliers are required to comply with Urban Edge's Human Rights Policy as it may be updated from time to time as well as all applicable laws pertaining to human rights and worker protection in the countries in which the Supplier operates. The standards set forth in this Supplier Code apply to all workers, including, without limitation, temporary, migrant, student, contract, direct employees, and any other type of worker of Supplier.

Environment and Sustainability

Urban Edge is dedicated to ensuring a sustainable and responsible approach to its operations. The company prioritizes the measurement, benchmarking, and reporting of its sustainability activities, which have become an integral part of our overall business operations. Supplier agrees to collaborate with Urban Edge in its sustainability efforts including, but not limited to, improving energy efficiency, reducing greenhouse gas emissions, reducing waste use and consumption, increasing the use of sustainable materials, and increasing recycling of wastes.

Supplier will provide a safe and healthy workplace for its employees, including appropriate controls, training, work procedures and personal protective equipment. Suppliers will give health, safety, and security a priority consideration in manufacturing any products supplied to Urban Edge. Supplier shall comply with all applicable environmental laws and regulations and shall cooperate with Urban Edge to provide information and data reasonably requested by Urban Edge to populate and manage the Urban Edge Environmental Management System (EMS) which is based on the International Organization for

Standardization (ISO) 14001 and data and information which Urban Edge may be required by law to collect.

Compliance with this Supplier Code

Supplier acknowledges and agrees that Supplier is responsible for compliance with this Supplier Code by Supplier's directors, officers, employees, representatives, suppliers, contractors, and other business partners. Suppliers are expected to maintain management systems and controls to promote and facilitate compliance with applicable laws and the requirements set forth in this Supplier Code. Suppliers shall require their next tier suppliers to acknowledge and implement this Supplier Code. Supplier shall also request that its next tier suppliers hand this Supplier Code down to their sub-tier Suppliers so that this Supplier Code cascades through Urban Edge's supply chain.

Supplier employees must be free to raise concerns without fear of retaliation, including without limitation, concerns about workplace safety, forced labor, wage and hour issues, corruption, and any other potential misconduct or violations.

Urban Edge reserves the right to audit suppliers for compliance with this Supplier Code and Supplier agrees to cooperate with Urban Edge in any such audit and to promptly correct any nonconformances identified during such audits.

This Supplier Code is supplemental to any contract between Urban Edge and Supplier. To the extent that more specific or stringent terms are agreed in a contract, the contract terms shall control.

This Supplier Code may be updated by Urban Edge from time to time. Supplier agrees to comply with any updated Supplier Code made available on the Urban Edge website.
