Special shareholder meeting approves the merger of Advanced Vision Technology (A.V.T.) Ltd.

The special shareholder meeting of Advanced Vision Technology (A.V.T.) Ltd. (6 Hanagar St., Hod Hasharon 45241, Israel. WKN: 931340 / ISIN: IL0010837248 / XTRA: VSJ; listed on the Frankfurt Stock Exchange, Prime Standard) ("AVT" or the "Company") has approved the merger of Pelican Merger Sub Ltd., a company organized and existing under the laws of Israel and having its registered seat in Israel, with and into the Company, following which the Company will become a wholly-owned subsidiary of Pelican Merger Holdings Israel Ltd. and an indirect wholly-owned subsidiary of Danaher Corporation. Following the approval by the shareholders there is a statutory waiting period of thirty (30) days under Israeli corporate laws before the merger may be effected. Accordingly, it is expected that the merger will become effective and the Company will become a wholly-owned subsidiary of Pelican Merger Holdings Israel Ltd. during the second half of May, 2017. The merger consideration will be paid in the weeks following the closing of the merger to the holders of shares immediately prior to the closing; details of the settlement procedures, including with respect to Israeli withholding tax, will be communicated to the Company's shareholders shortly after the merger has become effective.
