ANNOUNCEMENT ON RESIGNATION OF DIRECTOR

The board of directors (the "Board") of Agricultural Bank of China Limited (the "Bank") hereby announces that, due to his age, Mr. HU Xiaohui has tendered his resignation as a non-executive director, a member of each of the Strategic Planning Committee, the County Area Banking Business/Inclusive Finance Development Committee and the Audit and Compliance Committee of the Board of the Bank.

According to the requirements of the Company Law of the People's Republic of China and the Articles of Association of the Bank, the resignation letter of Mr. HU Xiaohui was delivered to the Board today and took immediate effect. Mr. HU Xiaohui has confirmed that he has no disagreement with the Board and does not have any matters in relation to his resignation that should be brought to the attention of the shareholders or creditors of the Bank.

The Board would like to express its sincere gratitude to Mr. HU Xiaohui for his significant contribution to the Bank's development during his tenure of office.
