ANNOUNCEMENT ON THE REDEMPTION OF

TIER-2 CAPITAL BONDS

Reference is made to the announcement of Agricultural Bank of China Limited (the "Bank") dated 18 August 2014 on the completion of issuance of tier-2 capital bonds.

In August 2014, the Bank issued 10-yeartier-2 capital bonds in the amount of RMB30 billion (the "Bonds"). According to the relevant terms and conditions in the prospectus for the issuance of the Bonds, the Bonds are subject to the redemption option of the issuer, where the issuer has the right to redeem the Bonds at the fifth anniversary of the issuance of the Bonds, which is on 18 August 2019 (as it falls on a rest day, it shall be extended to the next following business day, which is on 19 August 2019).

As at the date of this announcement, with the approval from China Banking and Insurance Regulatory Commission, the Bank has exercised the redemption right and redeemed the tier-2 capital bonds in the amount of RMB30 billion in full amount.
