REDEMPTION OF SUBORDINATED BONDS

Reference is made to the section headed "Financial Information - Capital Resources" in the prospectus of Agricultural Bank of China Limited (the "Bank") dated 30 June 2010. In May 2009, the Bank issued a tranche of subordinated bonds for a term of fifteen years in an aggregate principal amount of RMB25 billion (the "Bonds"). According to the relevant terms in the prospectus for the issuance of the Bonds, the Bonds are subject to the redemption option of the Bank, and the Band has the right to redeem the Bonds at the tenth anniversary of the issuance of the Bonds, which is 20 May 2019.

As at the date of this announcement, the Bank has exercised the redemption option and completed the redemption of the Bonds.
