  • 1. To elect eleven members of the Board of Directors of Alphabet (the Board of Directors) to hold office until thenext annual meeting of stockholders or until their respective successors have been elected and qualified.

  • 2. To ratify the appointment of Ernst & Young LLP as Alphabet's independent registered public accounting firm forthe fiscal year ending December 31, 2018.

  • 3. To approve amendments to Alphabet's 2012 Stock Plan to increase the share reserve by 11,500,000 shares of Class C capital stock and to prohibit the repricing of stock options granted under the 2012 Stock Plan without stockholder approval.
