Banca Monte dei Paschi di Siena : Merger by way of incorporation of Perimetro Gestione Proprietà Immobiliari into Banca Monte dei Paschi di Siena

Siena, 21 May 2019 - Further to the press release dated 21 March 2019, notice is hereby given that on the date hereof Banca Monte dei Paschi di Siena S.p.A. ('BMPS') and Perimetro Gestione Proprietà Immobiliari S.p.A. ('Perimetro'), in compliance with the resolution of the Board of Directors of BMPS of 28 February 2019 pursuant to Articles 2365 and 2505, paragraph 2, of the Italian Civil Code and Article 17 of BMPS's By-laws, and the resolution of the extraordinary shareholders' meeting of Perimetro of 1 March 2019, entered into a merger deed relating to the merger by way of incorporation of Perimetro into BMPS (the 'Merger').

The civil effects of the Merger will occur after the registration of the merger deed in the competent Arezzo-Siena Companies' Register and the accounting and tax effects will occur on 1 January 2019.

The Merger will not involve any share capital increase of BMPS, since the entire share capital of Perimetro is wholly owned by BMPS.

The relevant documentation has been made available to the public at the registered office of BMPS in Siena, Piazza Salimbeni n. 3, at the Italian stock exchange management company Borsa Italiana S.p.A., on the authorized storage mechanism eMarket STORAGE at the website www.emarketstorage.com and at the website of BMPS at www.gruppomps.it.
