MAURO SELVETTI CONFIRMED CEO BOARD COMMITTEES MEMBER APPOINTED

Sondrio, 15 October 2018 - The Board of Directors, in today's meeting, appointed Luigi Lovaglio as Chairman, Alessandro Trotter as Senior Deputy Chairman, Stefano Caselli as Deputy Chairman and Mauro Selvetti as Chief Executive Officer (CEO).

The Board of Directors also appointed the following members of the Board Committees for the period 2018-2020:

• - Nomination Committee: Teresa Naddeo (Chairman), Paola Bruno e Anna Doro

• - Remuneration Committee: Paola Bruno (Chairman), Teresa Naddeo e Massimiliano Scrocchi

• - Risk Committee: Elena Beccalli (Chairman), Fausto Galmarini e Carlo Crosara

• - RPT (Related Party Transactions) Committee: Stefano Gatti (Chairman), Livia Aliberti

The independence requirements, pursuant to Article 148, paragraph 3, of Italian Legislative Decree no. 58 of 24 February 1998, to the Corporate Governance Code of Listed Companies and to the Articles of Association, will be checked on the occasion of the next meeting of the Board of Directors. The outcome of this review will be communicated to the market.
