CLOSURES OF REGISTER OF MEMBERS

Reference is made to the recommendation of the board of directors (the "Board") of Binhai Investment Company Limited (the "Company") of a final dividend for the year ended 31 December 2018 (the "Final Dividend") of HK$0.045 per ordinary share of the Company (the "Share") as disclosed in the 2018 final results announcement of the Company published on 15 March 2019. The Final Dividend is subject to the approval of the holders of the Shares at the forthcoming annual general meeting of the Company to be held on 10 May 2019 (the "AGM"), and is expected to be paid on 28 June 2019.

The Board announces that the register of members of the Company (the "Register of Members") will be closed for the following periods, during which no transfer of Shares will be registered:

(a)For determining the entitlement to attend and vote at the AGM

Shareholders of the Company whose names appear on the Register of Members on Friday, 10 May 2019 will be eligible to attend and, in relation to holders of Shares, to vote at the AGM. The Register of Members will be closed from Tuesday, 7 May 2019 to Friday, 10 May 2019 (both days inclusive). To become holders of Shares and be entitled to attend and vote at the AGM, all completed transfer forms accompanied by the relevant share certificates must be lodged with the Company's Hong Kong branch share registrar and transfer office, Hong Kong Registrars Limited of Shops 1712-16, 17th Floor, Hopewell Centre, 183 Queen's Road East, Wanchai, Hong Kong, for registration not later than 4:30 p.m. on Monday, 6 May 2019.

(b)For determining the entitlement to the Final Dividend

The Final Dividend will be payable to the holders of Shares whose names appear on the Register of Members on Thursday, 6 June 2019 and the Register of Members will be closed from Tuesday, 4 June 2019 to Thursday, 6 June 2019 (both days inclusive). In order to qualify for the Final Dividend, all completed transfer forms accompanied by the relevant share certificates must be lodged with the Company's Hong Kong branch share registrar and transfer office, Hong Kong Registrars Limited of Shops 1712-16, 17th Floor, Hopewell Centre, 183 Queen's Road East, Wanchai, Hong Kong, for registration not later than 4:30 p.m. on Monday, 3 June 2019.

Accordingly, the last day for dealings in the Shares with entitlement to the Final Dividend will be Thursday, 30 May 2019. The Shares will be traded ex-dividend as from Friday, 31 May 2019.
