Cassini Resources Limited (ASX: CZI) (Cassini or the Company) advises that in accordance with shareholder approval received via a special resolution at the Company's 2019 Annual General Meeting, the Company has repealed its existing Constitution and adopted a new Constitution in its place, in the form as annexed overpage.

As set out in the Notice of Annual General Meeting lodged with the ASX on 25 October 2019 (Notice of Meeting), the new Constitution is of the type required for a listed public company limited by shares and reflects the current provisions of the Corporations Act and ASX Listing Rules, incorporating amendments to the Corporations Act and ASX Listing Rules since the previous Constitution was adopted (in 2012).

The new Constitution is broadly consistent with the provisions of the previous Constitution and many of the proposed changes are administrative or minor in nature. The Directors believe these amendments are not material nor will they have any significant impact on Shareholders. A summary of the proposed material changes is set out in the Notice of Meeting.
