WINDING-UP PETITION

This announcement is published by China Shanshui Cement Group Limited (the "Company") pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions (as defined under the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong).

This announcement is in relation to the Company's announcement of 17 September 2019 regarding the application made by the Company to the Grand Court of the Cayman Islands (the "Grand Court") for a validation order for the transfer of shares held by requesting shareholders to HKSCC Nominees Limited, the common nominee for shares deposited with the Hong Kong Stock Exchange's Central Clearing and Settlement System (the "Share Transfer Order").

After the Grand Court decided to grant the Share Transfer Order, Tianrui (International) Holding Company Limited appealed such decision to the Cayman Islands Court of Appeal ("CICA"). On 18 February 2020 (Cayman Islands Time), the CICA allowed this appeal and reversed the Share Transfer Order.

The Company is considering whether to seek leave to appeal the CICA's decision, and continues to vigorously dispute the winding-up petition, which it believes to be an abuse of process and without basis.

Shareholders of the Company and potential investors are advised to exercise caution when dealing in the securities of the Company.
