In accordance with the Federal Council Ordinance on Measures to Combat the Coronavirus, the Annual General Meeting of Conzzeta AG on April 22, 2020, was held without the physical attendance of shareholders. They were represented by the independent proxy. The usual opening address by Ernst Bärtschi, Chairman of the Board of Directors, and the explanation of the course of business by Michael Willome, Group CEO, were waived. Shareholders approved in particular the proposed dividend with the special distribution of excess cash reserves of CHF 42.00 per class A registered share and CHF 8.40 per class B registered share. The dividend payment date will be April 28, 2020. They confirmed Ernst Bärtschi as Chairman of the Board of Directors and the members of the Board of Directors and the Human Resources Committee who were proposed for re-election. The Annual General Meeting also approved all other motions, including the 2019 compensation report, the compensation to be paid to the Board of Directors for the period of office until the Annual General Meeting 2021, and the compensation for the Executive Committee for the 2021 financial year.
