The Board of Directors ('Directors') of CSC Holdings Limited (the 'Company') together with its subsidiaries, (the 'Group') wishes to announce that its subsidiary, THL Foundation Equipment Pte Ltd has on 8 December 2015 incorporated a wholly owned subsidiary in India under the name of IMT-THL India Private Limited ('THL India'). The principal activities of THL India are trading of foundation engineering equipments and its related spare parts.
The issued and paid up share capital of THL India is INR5,000,000 consisting of 500,000 equity shares of INR10.00 each.
The incorporation of THL India is not expected to have a material effect on the consolidated earnings per share or net tangible assets per share of the Group for the financial year ending 31 March 2016.
None of the Directors or substantial shareholders of the Company has any interest, direct or indirect, in the above transaction.
