DAVID JONES
David Jones Limited ('David Jones') today announced that the proposal by Woolworths Holdings Limited ('Woolworths') to acquire all of the shares in David Jones through its subsidiary, Vela Investments Pty Ltd, via a scheme of arrangement ('Scheme') was approved by the requisite majority of Woolworths shareholders at the General Meeting held on Tuesday 17 June 2014, in South Africa.
In addition, the resolutions related to the subsequent equity raising that Woolworths intends to conduct post implementation of the Scheme have also been approved by the requisite majority of Woolworths shareholders at the General Meeting.
This satisfies a key condition precedent to the implementation of the Scheme.
David Jones shareholders will consider the resolution necessary to approve and implement the proposed Scheme at the David Jones Scheme Meeting scheduled for Monday 30 June 2014 at the Wesley Conference Centre, 220 Pitt Street, Sydney commencing at 10:00am (Sydney time).
A Scheme Booklet, providing full details of the Woolworths proposal (including reasons to vote in favour or against the Scheme, an Independent Expert report and details on how to vote) was mailed to David Jones shareholders in late May 2014.
The David Jones Board continues to unanimously recommend that David Jones shareholders vote in favour of the Scheme at the upcoming Scheme Meeting, in the absence of a superior proposal. Subject to this same qualification, the David Jones Directors intend to vote all the David Jones Shares held or controlled by them in favour of the Scheme.
