EnPro Industries, Inc. (NYSE: NPO) today announced it priced its previously announced offering of its senior notes due 2026 (the “Senior Notes”). The face value of the Senior Notes is $350 million with an annual interest rate of 5.75%. The Senior Notes were priced at 100% of the face value. The offer was made in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to persons in offshore transactions in reliance on Regulation S under the Securities Act. The Senior Notes offering is expected to close on October 17, 2018.

EnPro intends to use the net proceeds from the offering, together with borrowings under its senior secured revolving credit facility, to fund the redemption of all of its outstanding 5.875% senior notes due 2022 (the “Outstanding Notes”). The conditional redemption of the Outstanding Notes was announced by EnPro on October 1, 2018.
