EuropaCorp answers market rumors

Saint-Denis,May 29 2019 - Following the article published today in Les Echos, the Company confirms to be in discussion with its creditors and the group Pathé, as part of the restructuring of its debt and the strengthening of its financial capacity by way of capital increase.

The group Pathé has expressed interest in a potential stake acquisition in the capital of the Company. This expression of interest, non-binding, is subject to the realization of several conditions precedent, in particular an agreement on the restructuring of the existing debts of the Group. To date, as several essential conditions are not met - in particular the consent from the senior and junior lenders - the Company cannot assure that this proposal will come to a successful conclusion, nor give any precision on the schedule or structuring of the potential transaction resulting from the current discussions.

As announced on May 13 2019, the Company will inform the market, in due time, of the outcome of the negotiations it intends to continue with the lenders and other potential investors.

Besides, the Company specifies that the debt amounts mentioned in this same article are from the 2017/2018 financial statements published on July 26 2018 and then do not take into account the repayments made during the 2018/2019 fiscal year.

Finally, the Company reminds the market that the discussions led within the scope of the restructuring of its debt and the strengthening of its financial capacity are confidential and that the disclosure of related information exchanged between the stakeholders exposes the perpetrator in terms of responsibilities and possibly proceedings.
