Changes in the Board of Directors

The directors of Giken Sakata (S) Limited (the "Company", and such directors, the "Directors") wish to announce the following changes to the board of Directors of the Company (the "Board").
(a) Mr Lai Kim Fatt and Mr Chua Khing Seng will step down as independent directors of the Company from 30 November 2013.
Mr Lai will also step down as a member of the Audit Committee, Nominating
Committee and Remuneration Committee.
Mr Chua will step down as a member of the Audit Committee and Remuneration
Committee.
(b) Mr Tadanori Kawanishi and Mr Goh Lai Hai, both executive directors, who are due for retirement at the coming Annual General Meeting will not be seeking re-election and will step down as directors of the Board.
Mr Kawanishi will continue to be the Head of the Mechanism Division and President- Director of PT Giken Precision Indonesia, a subsidiary of the Company.
Mr Goh will continue to be the Head of the Microshaft Division and General Manager of Changzhou Giken Precision Co Ltd, a subsidiary of the Company.
(c) Mr Sanford Chee will be appointed as independent directors of the Company from 1
December 2013.
The Nominating Committee and the Board of Directors has considered and approved the appointment of Mr Chee.
The information relating to Mr Chee will be disclosed in a separate announcement. Following the appointment, the Board will comprise:
Mr Chin Siew Gim Non-Executive Chairman, Independent Director
Mr Yeung Kin Bond, Sydney Non-Executive & Non-Independent Director Mr Tan Kay Guan Chief Executive Officer, Executive Director Mr Ng Say Tiong Executive Director
Mr Sanford Chee Independent Director
The Audit Committee, Nominating Committee and Remuneration Committee will be reconstituted and we will provide an update once this is decided.
Mr Chin Siew Gim, Non Executive Chairman, expressed the Board's thanks and appreciation to Mr Lai, Mr Chua, Mr Kawanishi and Mr Goh for their services to the Board in the past years. Mr Chin also welcome Mr Chee to the Board and look forward to his contribution to the Company.
