Glow Energy Public Company Limited (GLOW) was notified by ENGIE that ENGIE has signed a share purchase agreement with Global Power Synergy Public Company Limited (GPSC) on 20 June 2018 for the sale of its entire interest in GLOW, representing 69.11% of total issued shares of GLOW, subject to the satisfaction of conditions precedent comprising the approval from GPSC's shareholders and the relevant regulatory authority as required by law. The transaction represents an aggregate value of Baht 97,559,187,184 or Baht 96.50 per GLOW share (which may be reduced by an amount equivalent to the payable dividend per share if GLOW will declare any dividend payment prior to the fulfilment of the above mentioned conditions precedent). GLOW understands that the proposed transaction is expected to be completed no later than Q4, 2018.

Subsequent to the completion of the proposed acquisition of 69.11% of total issued shares in GLOW, GPSC will replace ENGIE as a major shareholder in GLOW. In addition, pursuant to applicable rules and regulations, we understand that GPSC will be required to make a mandatory tender offer of all the remaining shares in GLOW at the tender offer price of Baht 96.50 per GLOW share (which may be reduced by an amount equivalent to the payable dividend per share if GLOW will declare any dividend payment prior to the fulfilment of the above mentioned conditions precedent)
