(Stock code: 2398)Reference is made to the announcement of Good Friend International Holdings Inc. (the 'Company') dated 5 November 2015 (the 'Announcement') in relation to the formation of the joint venture company, FFG European Holding GmbH, and the capital injection thereto pursuant to the Contribution Agreement. Unless otherwise defined, capitalised terms used herein shall have the same meanings as those defined in the Announcement.
As disclosed in the Announcement, the Company expected to despatch a circular (the 'Circular') to the Shareholders on or before 26 November 2015 containing (i) information on the Contribution Agreement and the transactions contemplated thereunder; (ii) the recommendation from the Independent Board Committee to the Independent Shareholders; (iii) the letter of advice from the independent financial adviser; and (iv) a notice convening the EGM.
As additional time is required to finalise the contents of the Circular, the Circular is expected to be despatched as soon as practicable on or before 4 December 2015.
