Strategic Plan 2020: Groupe Open begins structural operations to enhance its performance

Paris, 23 November 2017 - Groupe Open (ISIN: FR 0004050300; segment NextEconomy - 972, IT Services), Digital Services Company, announces structural operations as part of its Strategic Plan 2020 reinforcing its value proposition and its profitability.

Specifically, the company is disposing of declining and dilutive business activities and integrating new teams in areas targeted by its Strategic Plan 2020.

As a reminder, Groupe Open aims to achieve a turnover of 500 million euros by 2020 and a recurring operating income of 10%. Market leader in Digital Services, Groupe Open supports its customers by meeting the challenges involved in their Industrial and Digital Transformation.

Against this background, Groupe Open has carried out the following transactions:

  • The divestment of its subsidiary Groupe OPEN Belgium to NSI. Groupe OPEN Belgium will be backed by a major player on the Belgian market and thus benefit from the critical mass necessary for its development. The Dutch company (currently owned by the Belgian company) will remain in the Group's portfolio perimeter;
  • The cessation of the Group's business in China, based in Shanghai. Groupe Open does not have the necessary levers on the Chinese market to attain critical mass, and will therefore cease its activities in the country during the fourth quarter of 2017;
  • The acquisition of Beler Soft in Romania in order to have a nearshore production center to supplement the existing production facility. With a headcount of fifty, the company operates its current business activities for French customers and will be managed by the Lille Application Development Services Center of Groupe Open;
  • The ongoing completion of the acquisition of business assets, about twenty people, integrated with the Application Services sector in France, reinforcing Groupe Open's presence in certain areas of business related to digital issues;

These transactions will have a negative impact on full-year sales of € 8 million and will result in a goodwill impairment of € 2.5 million.

Operating profit for the period will be positively impacted, in absolute as well as in relative value.
