On May 21, 2020, Herbalife Nutrition Ltd. issued a press release announcing the
pricing of an offering by it and its wholly owned subsidiary HLF Financing, Inc.
of $600 million principal amount of 7.875% senior notes due 2025 in a private
offering to qualified institutional buyers pursuant to Rule 144A under the
Securities Act of 1933, as amended (the "Securities Act"), and outside the
United States to non-U.S. persons pursuant to Regulation S under the Securities
Act.

herein by reference.
