The Stock Exchange of ThailandIRPC Public Company Limited ("Company") would like to inform that the Board of Directors' meeting no. 2/2019, held on 12 February 2019, resolved and approved the Company to invest by subscription of newly issued shares of 2D Materials Pte. Ltd. ("2DM") which is a company incorporated under the laws of Singapore.

The shares to be subscribed equal to 20% of the total issued shares in 2DM, having total investment value of SGD 2.0 Million (equivalent to the estimated investment value of THB 46.62 Million). It is expected that the Company will enter into the Share Subscription Agreement ("SSA"), the Shareholders' Agreement ("SHA") and/or any other agreements or documents relating to this investment within the first quarter 2019. The completion of this investment is subject to the fulfilment of Conditions Precedents ("CPs") under the SSA by 2DM.

As 2DM is the owner of graphene manufacturing technology, this investment will enhance the Company's accession to the graphene manufacturing technology along with its utilisation techniques. Furthermore, the Company will be able to use manufactured graphene as a cumulative product of the Company's polymers so that such polymers will be more specialties in order to fulfil customer needs. This investment follows the Company's strategy to be research and development excellence as well as enhances the Company's innovation.

This transaction is not a connected party transaction, and the transaction size is not subject to disclosure requirement under the Notification of Capital Market Supervisory Board regarding procedures and disclosure of information concerning the acquisition and disposition of assets of listed company, but this report is in accordance with Stock Exchange of Thailand's rules on the procedures and disclosure of information concerning the investment in a joint venture company with a proportion of 10 percent or more of the total paid up capital.
