Notice Regarding Partial Amendments to the Articles of Incorporation
JAFCO Co., Ltd. (the "Company") informs that its Board of Directors approved a resolution at the board meeting held today to propose "Partial Amendments to the Articles of Incorporation" at the 46th Annual General Meeting of Shareholders to be held on June 19, 2018.
1. Reason for amendments
(1) Addition to Business Purpose
The Company introduces personnel and provides proactive recruitment support for portfolio companies with the aim of boosting their growth and corporate value. The amendment is to add personnel placement business (employment placement business pursuant to the Employment Security Act) to the Company's business purpose.
The Company specializes in venture and buyout investment through fund management. The personnel placement business will be offered only as part of the fund management business, and we do not intend to derive direct profit from it.
(2) Change in Location of Head Office
The Company relocated its headquarters to Minato-ku, Tokyo from Chiyoda-ku, Tokyo in February 2018. The amendment is to change the location of head office in the Articles of Incorporation.
