                of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 1, 2020, Jason Vegotsky notified KushCo Holdings, Inc. (the "Company") of his intention to step down from his position as President and Chief Revenue Officer of the Company, effective July 1, 2020. Mr. Vegotsky has been serving as the Company's President since August 2018 and has been serving as the Company's Chief Revenue Officer since February 2019.
