MEDIASET: VIVENDI S.A. ISSUES WRIT TO MEDIASET S.P.A, FININVEST S.P.A. AND SIMON FIDUCIARIA S.P.A

Mediaset has announced that it has received from Vivendi S.A. ('Vivendi') a writ requesting the Court of Milan, among other things:

- in the first instance, to annul the resolution approved by the Extraordinary Shareholders' Meeting of Mediaset held on 18 April 2019 with specific regard to point n. 4 of the Agenda ('Amendment of Article 7 of the Articles of Association regarding the voting premium pursuant to Article 127-quinquies of Legislative Decree N. 58 of 24 February 1998) and the consequent resolutions taken by the corporate bodies of Mediaset, including the approval of the regulation for the increased vote;

- secondarily, to ascertain and declare that Vivendi has the right to be registered in the list, pursuant to art. 127-quinquies of Legislative Decree N. 58/1998, on account of its stake in Mediaset, which corresponds to 9.61% of the share capital;

- in any case, to (i) ascertain and declare that Vivendi is the legitimate owner and can therefore exercise all asset-related and administrative rights connected to its stake in Mediaset, which corresponds to 9.61% of the share capital; (ii) to order Mediaset and, in particular, to whoever will chair future Shareholders' Meetings, to allow the actions listed under (i) and thereby allow Vivendi to exercise all related administrative rights; (iii) ascertain and declare that Vivendi can legitimately exercise asset-related rights connected to the stake held by Simon Fiduciaria S.p.A. ('SimonFid') in Mediaset, which corresponds to 19.19% of the relative share capital; (iv) to ascertain and declare that Vivendi, with regard to the actions listed under (iii) can legitimately give voting instructions to SimonFid in the manner and within the limits established by Art. 4.2. of the 'Special Instructions' and that the latter may therefore exercise the relative administrative rights.

The summons is issued for a hearing to be held on 26 November 2019.
