Mondo TV: an agreement was reached with Panini on Feisty Pets for Italy and the Iberian peninsula

A letter of intent was signed for the acquisition of a 19% minority stake in an English start-up

company, active in the development and distribution of video games, with an option for

acquiring a majority stake

It represents an important step in the digital sector; an area that constitutes a natural

integration of Mondo TV business

15 November 2019 -Mondo TV announced that it has signed a letter of intent for the

acquisition of a 19% minority stake in the share capital of an Anglo-Saxon start-up company

based in Brighton, whose activity is mainly focused on the development and distribution of

videos games.

The planned investment by Mondo TV for the acquisition of the minority stake is GBP 90,000,

of which 50,000 will be paid in advance for future capital increase, and GBP 40,000 to the

current shareholders.

The core business of the company, whose structure is extremely lean, working mainly with

free-lance developers, focuses on the development and distribution of video game

applications mainly for mobile devices, on intellectual property products of third parties,

whose philosophy well marries with that of Mondo TV.

The accounting data of the company to date, being a start-up, is not significant.

It should be noted that following to a more thorough due diligence, Mondo TV reserved the

option to acquire a majority stake through anad hoccapital increase, or by means of

procedures to be determined.

The acquisition of the 19% minority stake is expected to be completed by mid-December of

this year.
