Pearson : Directors' Shareholdings

Pearson has committed to transparent reporting on the impact - the 'efficacy' - of their products on learner outcomes. In order for you (the 'reader') to access the Pearson Efficacy Research Reports and PricewaterhouseCoopers LLP UK ('PwC') independent assurance reports, we at PwC require you to read, understand and accept the following terms and conditions:

1. The efficacy statements in the Research Reports, and their preparation in accordance with the Pearson Efficacy Reporting Framework dated 3 April 2018 (available at www.pearson.com/efficacy-reporting-framework), were subject to independent assurance by PwC. The efficacy statements that were subject to independent assurance are clearly identified in the Research Reports. PwC's independent assurance reports, including their conclusions and a summary of their work, are included at the end of the Research Reports.
2. Pearson's efficacy research and the resulting efficacy statements, and PwC's independent assurance reports thereon, reflect the implementation and use of Pearson's products in a particular context. The Research Reports do not capture the differing ways in which educators use Pearson's products, the variety of educator and student cohorts, and contexts in which these products are used. Accordingly it would not be appropriate to assume a product would always generate similar outcomes in other contexts and/or in the future.
3. PwC's independent assurance reports are addressed to Pearson plc and, to the fullest extent permitted by law, PwC does not accept or assume responsibility to anyone other than Pearson plc and its Board of Directors for its work or its assurance conclusions. If you do rely on the PwC assurance reports, you do so entirely at your own risk.
4. These terms and conditions of access to the Research Reports are governed by the laws of England and Wales and you agree that the English courts shall have exclusive jurisdiction in any dispute.
5. If you provide copies of these Research Reports to anyone, you must inform them that they are bound by these terms and conditions.
