Petrobras Distribuidora and Petros: Contribution to New Debt Equation Plan

Petrobras Distribuidora SA (B3: BRDT3), in compliance with the provisions of CVM Instruction 358, of January 3th, 2002, as amended, informs to its shareholders and the general public that, in continuity with the Material Fact of 03/11/2020, a negotiation was signed with Petros for the payment of the R$ 150.1 million contribution, and the execution of an instrument of guarantee of R$ 342.2 million to comply with the requirements of the New Debt Equation Plan (PED).

The New PED of the Petros Plan (PPSP-R and PPSP-NR), approved by PREVIC on 05/05/2020, requires the implementation of the aforementioned contribution from the Company as a counterpart to the reduction in the value of the annuity due to death borne by the participants of the Plan.

The contribution of R$ 150.1 million will be paid in 15 years, with a grace period until 12/31/2020, corrected by the actuarial goal, to be calculated annually according to the premises of the Petros Plan, with semiannual payments of principal + interest and prepayment option. In addition, the Petros Plan's New PED (PPSP-R and PPSP-NR) requires a guarantee to be met by BR's requirements, a permission granted with the issuance of promissory notes in the amount of R$ 342.2 million.

We emphasize that the changes in the regulations of the Plans will result in an intermediate actuarial revaluation, the results of which have not yet been foreseen will be recorded in 2Q20.

The Company reiterates that this is an important step that consolidates the reduction of extraordinary contributions for most of the participants and beneficiaries, as well as the improvement of the regulations of the plans, also allowing the review of the normal contributions and the mitigation of the need for new equation plans in the future.

The Company will keep the market duly informed about the subject matter of this material fact.
