According to PTT Public Company Limited ("PTT")'s Board of Directors on the special meeting No. 1/ 2020 held on 26 March 2020 had the resolution to postpone 2020 Annual General Meeting of Shareholders ( " AGM" ) , which previously scheduled on 10 April 2020, until the outbreak of the Coronavirus Disease 2019 ( " COVID- 19" ) in Thailand be resolved. Additionally, the government requested to consider avoiding any activities involving group of people, which may risk the epidemic of the virus. As a result, the agenda in the AGM regarding the appointment of PTT' s auditors and the approval of audit fee for the year 2020 were postponed.
Nonetheless, the Office of the Securities and Exchange Commission ( " the Office of SEC" ) announced the Notification of Capital Market Supervisory Board Tor Jor 28/ 2020 dated 27 March 2020 that listed companies, which are unable to have AGM and appoint company' s auditors, are able to submit the company's financial statements for the first quarter of 2020 reviewed by the auditors in the list of auditors approved by the Office of SEC and appointed by the company' s board of directors, to the Office of SEC. Additionally, the company is required to propose the agenda of appointment of the company' s auditors as aforementioned in the upcoming AGM. In this regard, PTT's Board of Directors at the meeting No.4/2020 on 10 April 2020 acknowledged the action plans after the postponement of 2020 AGM due to COVID-19 outbreak, together with the appointment of PTT' s auditors and the approval of the audit fee for the year 2020 in the reference to the resolution of PTT' s Board of Director at the meeting No. 12/ 2019 on 19 December 2019 to appoint PTT' s auditors and approve audit fee for the year 2020, which was considered by PTT' s audit committee, in order to propose for approval in 2020 AGM.

The namelist of the appointment of PTT' s auditors for the year 2020 as aforementioned and EY Office Limited, the auditor' s company, are the auditors in the list approved by the Office of SEC and have no relationship or interest with PTT, its subsidiaries, executives, or major shareholders, or related parties in anyway whatsoever, therefore the auditors shall be independent for reviewing and rendering their opinions to PTT' s financial statements. The audit fee for the quarters and for the year of 2020 of both separated and consolidated financial statements would be in an amount of THB 8,000,000. Additionally, these transactions have already been considered by the Audit Committee and approved by PTT' s Board of Directors and will be proposed to the upcoming 2020 AGM for approval.
