(Stock Code: 1478) COMPLETION OF DISCLOSEABLE TRANSACTION IN RELATION TO PARTICIPATING IN THE PRIVATE PLACEMENT OF NEWMAX TECHNOLOGY CO., LTD.

Reference is made to the announcements of the Company dated 19 March 2017 and 24 August 2017 in relation to the discloseable transaction in relation to participating in the Private Placement of Newmax Technology Co., Ltd. ("Announcements"). Unless otherwise stated, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcements.

The Board is pleased to announce that all conditions to the Share Subscription Agreement have been fulfilled and the completion of the Private Placement took place on 31 August 2017 in accordance with the terms and conditions of the Share Subscription Agreement. An aggregate of 57,008,888 Placing Shares have been allotted and issued to the Company at the price of TWD21.88 per share, representing approximately 36.0% of the entire issued ordinary shares of the Target Company as enlarged upon completion of the Private Placement.
