QSC AG executes planned spinoff of telecommunications business

- Independent market presence as Plusnet GmbH
- Agile structures fit for future market developments


Cologne, 3 September 2018. QSC AG executed the spinoff of its telecommunications business to Plusnet GmbH on schedule as of 31 August 2018.
This measure forms part of QSC's verticalisation strategy, which involves assigning greater responsibility to individual business units. The Company aims to enable all of its business units - Cloud, Internet-of-Things, SAP Consulting, Telecommunications and Colocation - to act on the market with greater agility and increased customer focus.
Plusnet can therefore draw on a nationwide network infrastructure and decades of experience in operating all broadband technologies. Furthermore, it operates networks on behalf of third-party providers and offers all network-related services and all aspects of product and customer management. As a wholly-owned subsidiary of QSC AG, Plusnet will be able to focus even more closely on telecommunications as its core business. Furthermore, the new structure will promote the Company's goal of further developing Plusnet's business, also by forging cooperations and acquiring shareholdings.
The spinoff was executed in accordance with the German Transformation Act (UmwG) and previously approved by the Annual General Meeting of QSC AG in July 2018. As planned, the spinoff was entered in the Commercial Register on 31 August 2018.

Flexible structures to exploit new market dynamism

"Due to the advance of digitisation, we are seeing greater dynamism in the telecommunications market. Demand for secure and stable network services is on the increase, the new fibre optic networks being put in place by local authorities have to be operated and smart city concepts are becoming reality. For us, it is now about exploiting this market potential", explains Jürgen Hermann, CEO of QSC AG, with regard to the strategic considerations underlying the spinoff.
All staff, all operations and sales structures and all preliminary and end products for resellers and corporate customers have been transferred from the Telecommunications business unit at QSC AG to Plusnet GmbH, as have the relevant partner and customer management structures and contractual relationships with customers, partners and suppliers. The management of Plusnet GmbH comprises Dr. Jürgen Mattfeldt, Markus Hendrich and Bert Wilden.
