ANNOUNCEMENT

SAG GEST - Soluções Automóvel Globais, SGPS, SA (SAG) hereby announces and clarifies the following:

1.Given the complexity involved with the negotiation process towards the agreement signed today between SAG and Porsche Holding Gesellschaft mb.H., among others, which has already been notified on this date and which aims to ensure the sustainability and continuity of SAG's automotive business ("Transaction"), it has become necessary to make a final revision to the 2018

Separate and Consolidated Financial Statements in order to adequately reflect the operations which underlie and are integral to the Transaction, which was not possible to complete until this date, which is the statutory deadline for the due disclosure of the financial statements;

2.Given this context, and since the process of preparation of the 2018 Financial Statements could not be completed in due time as intended by SAG, it was considered adequate to disclose the said Financial Statements until May 8th in order to enable the external auditors to complete the relevant review process.
