Sembcorp Industries : Extension of time to hold Annual General Meeting

EXTENSION OF TIME TO HOLD ANNUAL GENERAL MEETING

Singapore, April 14, 2020 - Sembcorp Industries Ltd ("Sembcorp") refers to:

1. SGX RegCo's announcement on April 7, 2020 (the "SGX RegCo Announcement") that it, in consultation with ACRA and MAS, will automatically extend by 60 days the deadline for all issuers with financial year-ends on or before March 31, 2020 to hold their annual general meetings ("AGMs"); and
2. ACRA's announcement on April 7, 2020 that it will grant a 60-day extension for all companies whose AGMs are due during the period April 16, 2020 to July 31, 2020.

Following from the above, Sembcorp wishes to announce that:

1. its financial year end is December 31, 2019;
2. subject to any further directives or statements that may be issued by the Ministry of Health or other relevant authorities in light of the COVID-19 situation from time to time, and any relevant approvals or considerations, it intends to hold its AGM as soon as practicable and no later than June 29, 2020 (which is prior to the extended deadline for AGMs as listed in the Annex of the SGX RegCo Announcement), unless it becomes impracticable to do so as a result of new developments, particularly in relation to the COVID-19 situation; and
3. its Board of Directors has confirmed that the time extension will not be in contravention of any laws and regulations governing Sembcorp and its Constitution.

Sembcorp has on April 14, 2020 also notified SGX RegCo of the above.

Sembcorp will update shareholders once the date, time and venue of its AGM have been finalised.
