(b) Departure of Directors or Certain Officers.

On June 19, 2020, Dominic A. Romeo, a director of The Shyft Group, Inc., resigned from the Board of Directors for personal reasons. In connection with Mr. Romeo's resignation, the size of the Board of Directors will be reduced from nine directors to eight directors.
