(e) Compensatory Arrangements of Certain Officers.

On July 20, 2020, The Shyft Group, Inc. (the "Company") agreed to reimburse Jonathan C. Douyard, the Company's Chief Financial Officer, approximately $250,000, plus a tax gross-up, for certain costs and expenses incurred by Mr. Douyard in relocating his family from their home in Washington to the Company's offices in Michigan.
